Terms of Service
These terms govern every project BlackMinted (“BlackMinted”, “we”) delivers for you (“the client”). Each project also has a written proposal; if the two conflict, the signed proposal wins.
01Proposals & scope
Every project starts with a written proposal stating the scope, fixed price and delivery date. Published prices on our website are estimates; the proposal price is binding once signed.
Changes to scope must be agreed in writing and may change the price and date.
02Payment
Projects are billed 50% upfront and 50% on delivery. Work begins when the upfront payment clears. Retainers are billed monthly in advance.
We never charge interest or late fees. If the final payment is more than 30 days overdue, we may pause hosting or support we provide until it is settled.
03Revisions
Each deliverable includes two rounds of revisions within the agreed scope. Further rounds, or changes outside scope, are quoted separately.
04Delivery & late delivery
We commit to the delivery date in the proposal. If we deliver late through our own fault, 10% comes off the total fee for every full week of delay, up to a maximum of 30%.
Delays caused by missing client content, feedback or access extend the date by the same amount and do not count toward this discount.
05Ownership & intellectual property
Ownership of the code, designs and deliverables transfers to the client on receipt of final payment. Until then, BlackMinted retains all rights.
Open-source libraries remain under their own licences. We may reuse general know-how and non-client-specific tooling.
06Support after launch
We fix bugs in delivered work free of charge for 14 days after launch. After that, support is available through a retainer or quoted separately.
07Confidentiality
We keep your business information confidential and will sign an NDA on request. With your permission, we may show completed public-facing work in our portfolio.
08Liability
Our total liability for any project is limited to the fees paid for that project. We are not liable for indirect or consequential losses, lost profits, or issues caused by third-party services.
09Disputes
We will first try to resolve any dispute directly and in good faith within 30 days. If that fails, the dispute will be settled by binding online arbitration, conducted in English, before a mutually agreed arbitration provider.
10Acceptable use
We only take on projects that comply with our Acceptable Use Policy. We may end a project that is found to breach it; work completed to that point remains payable.
